Agreement between User and www.qtalk.com & app.qtalk.com

Welcome to QTALK.

The www.qtalk.com and app.qtalk.com websites and associated web applications

(collectively, the "Site") are operated by QTALK Publishing LLC ("QTALK").

The Site is offered to you conditioned on your acceptance without modification of the

terms, conditions, and notices contained herein (the "Terms").

Your use of the Site constitutes your agreement to all such Terms. Please read these

terms carefully.

Description of Services

QTALK is an Educational Resources Site providing teachers and students with digital

language learning resources, including e-books and online educational games.

Offline Enterprise Agreements & Accounts

Access to the QTALK Web App is primarily granted through offline enterprise

contracts signed between QTALK and schools, school districts, or educational

institutions.

• Institutional Responsibility: Educational institutions and teachers are responsible

for distributing and managing student accounts.

• Account Confidentiality: You are responsible for maintaining the confidentiality

of your account credentials and restrict access to your devices. You agree to

accept responsibility for all activities that occur under your account.

QTALK reserves the right to terminate accounts or remove content in our

sole discretion.

Third-Party Authentication (Google OAuth)

Users may log in to the platform via third-party authentication services, such as

Google Sign-In. By using these features, you acknowledge that authentication is

subject to the privacy policies and terms of the respective third-party providers.

QTALK is NOT responsible for any security breaches resulting from the

compromise of your third-party account credentials.

No Unlawful or Prohibited Use / Abuse of Platform

You are granted a non-exclusive, non-transferable, revocable license to access and use

the Site strictly in accordance with these Terms.

As a condition of your use, you warrant to QTALK that:

• You will not use the Site for any unlawful or prohibited purpose.

• You will not use any automated scripts, bots, scrapers, or spiders to extract digital

assets (including e-books, graphics, and audio) or manipulate online game

data/scores.

• You will not modify, publish, transmit, reverse engineer, participate in the

transfer or sale, or create derivative works of any content found on the Site. All

content is the property of QTALK and is protected by copyright laws.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED

IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES.

QTALK PUBLISHING LLC AND/OR ITS SUPPLIERS MAY MAKE

IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL

SUCH INFORMATION, SOFTWARE, AND SERVICES ARE PROVIDED "AS

IS" WITHOUT WARRANTY OF ANY KIND.

QTALK DISCLAIMS ALL WARRANTIES AND SHALL NOT BE LIABLE FOR

ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL

DAMAGES ARISING OUT OF THE USE OR PERFORMANCE OF THE SITE.

Termination and Jurisdiction

QTALK reserves the right, in its sole discretion, to terminate your access to the Site at

any time, without notice. To the maximum extent permitted by law, this agreement

is governed by the laws of the State of New York, and you hereby consent to the

exclusive jurisdiction of courts in New York in all disputes arising out of or

relating to the use of the Site.

Changes to Terms

QTALK reserves the right, in its sole discretion, to change the Terms under which our

services are offered.

The most current version of the Terms will supersede all previous versions.
